Terms of Service

1. Acceptance of Terms

By accessing or using Seed Bank International ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

2. Eligibility

You must be at least 18 years old and comply with all applicable local, state, and federal laws to use this Platform. You are responsible for ensuring that your use of the Platform is legal in your jurisdiction.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You agree to provide accurate information and to notify us immediately of any unauthorized use of your account.

4. Intellectual Property

All content on the Platform — including strain data, genealogy records, breeder profiles, and branding — is owned by Seed Bank International or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

5. Marketplace Conduct

Breeders and sellers on the marketplace are responsible for the accuracy of their listings and compliance with applicable laws. Seed Bank International acts as a platform and does not guarantee the quality or legality of third-party products.

6. Prohibited Activities

You may not use the Platform to engage in fraud, distribute malware, scrape data without permission, harass other users, or violate any applicable law. We reserve the right to suspend or terminate accounts that violate these terms.

7. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. Seed Bank International shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

8. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated terms.

9. Dispute Resolution

We want to resolve any disputes fairly and efficiently. The following process applies to any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform.

Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@seedbankinternational.com to describe the dispute and allow a 30-day good-faith resolution period. Most disputes can be resolved without formal arbitration.

Binding Arbitration

If informal resolution fails, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or by JAMS if AAA is unavailable. Arbitration shall be conducted on an individual basis only. You and Seed Bank International each waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. The arbitrator's decision will be final and binding, subject to limited review by a court of competent jurisdiction.

Small Claims Exception

Either party may bring an individual claim in small claims court if the claim qualifies under that court's jurisdictional limits and the claim is not aggregated with claims of other persons.

Arbitration Fees

Arbitration filing fees will be allocated in accordance with the applicable AAA (or JAMS) rules. For claims under $10,000 filed by you, Seed Bank International will pay all AAA filing and administrative fees, provided the claim is not determined to be frivolous.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without giving effect to any conflict-of-law provisions that would require the application of the laws of a different jurisdiction.

Jurisdiction for Non-Arbitrable Matters

For any matters that cannot be submitted to arbitration (such as applications for injunctive or other equitable relief), the parties consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and waive any objection to such venue.

Exclusion of CISG

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded and shall not apply to any transaction or dispute under these Terms.
