Seller & Marketplace Agreement

1. Eligibility & Account Requirements
To sell on SBI you must: (a) be at least 18 years of age; (b) maintain a verified SBI account in good standing; (c) provide accurate business or individual identification; (d) comply with all applicable local, state, federal, and international laws regarding the sale of seeds, plant material, and related products.
SBI reserves the right to require additional verification including government-issued identification, business licenses, or phytosanitary certificates before activating seller privileges.
2. Listing Accuracy & Representations
All listings must be accurate, truthful, and not misleading. Sellers represent and warrant that:
- Genetic lineage claims are supported by documentation or provenance records
- Product descriptions accurately reflect the item being sold
- Images are of the actual product or representative of the cultivar
- Pricing is fair and not artificially manipulated
- Inventory quantities are accurate and available for fulfillment
SBI may remove listings, suspend accounts, or take other action if listings contain inaccurate or fraudulent information.
3. Prohibited Items & Conduct
The following are prohibited on the SBI marketplace:
- Items illegal in the seller's or buyer's jurisdiction
- Counterfeit, misrepresented, or relabeled genetics
- Claims of medicinal efficacy without proper authorization
- Shill bidding, fake reviews, or artificial engagement
- Price manipulation or coordinated listing abuse
- Items that infringe on intellectual property rights, including Plant Variety Protection (PVP) or Plant Breeders' Rights (PBR)
- Living organisms where prohibited by shipping regulations
4. Commission Structure & Fees
SBI charges a commission on completed sales based on your seller tier:
Commissions are calculated on the total sale price including shipping. SBI may adjust commission rates with 30 days written notice. Current rates are displayed on the Pricing page.
5. Payments & Payouts
Seller earnings are held in escrow until the buyer confirms receipt or 14 days after shipment, whichever comes first. Payouts are available via:
- USDC on Solana — instant settlement, zero platform fees
- ACH bank transfer — 3-5 business days, standard processing
Minimum payout threshold is $25.00 USD. SBI is not responsible for delays caused by blockchain congestion, bank processing, or incorrect payout details provided by the seller.
6. Fulfillment & Shipping
Sellers must ship orders within the timeframe specified in their listing (default: 5 business days). Sellers are responsible for:
- Proper packaging to prevent damage during transit
- Compliance with USDA, APHIS, and relevant phytosanitary shipping regulations
- Providing tracking information to the buyer
- Handling returns and disputes in accordance with their stated return policy
7. Intellectual Property
By listing on SBI, you grant SBI a non-exclusive, worldwide, royalty-free license to display your listing content (images, descriptions, strain data) on the platform and in marketing materials. You retain ownership of your original content.
Genetic lineage data submitted to the SBI registry becomes part of the public record. This does not transfer ownership of the genetics themselves — only the informational metadata.
8. Disputes & Resolution
Buyer-seller disputes should first be resolved directly between the parties. If resolution is not reached within 7 days, either party may escalate to SBI for mediation. SBI's decision in mediated disputes is final and binding for transactions under $500.
For transactions over $500, disputes are subject to binding arbitration under the terms specified in the Terms of Service.
9. Account Suspension & Termination
SBI may suspend or terminate seller privileges at any time for:
- Violation of this Agreement or the Terms of Service
- Repeated buyer complaints or disputes
- Fraudulent activity or misrepresentation
- Failure to fulfill orders within stated timeframes
- Non-compliance with applicable laws
Upon termination, outstanding earned balances will be paid out within 30 days, minus any chargebacks, refunds, or penalties owed.
10. Indemnification
You agree to indemnify, defend, and hold harmless SBI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your listings or sales; (b) your breach of this Agreement; (c) your violation of any applicable law; (d) any dispute between you and a buyer.
11. Limitation of Liability
SBI is a marketplace platform facilitating transactions between buyers and sellers. SBI does not take title to seller inventory, does not guarantee sales, and is not a party to individual sale transactions. To the maximum extent permitted by law, SBI's total liability for any claim arising under this Agreement shall not exceed the total commissions paid by you to SBI in the 12 months preceding the claim.
12. Modifications
SBI may modify this Agreement at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the marketplace after changes take effect constitutes acceptance of the modified terms.
13. Governing Law
This Agreement is governed by the laws of the State of Michigan, United States, without regard to conflict of law principles. Any legal action shall be brought in the state or federal courts located in Wayne County, Michigan.
